Terms and Conditions of Business

Cultivalink Global Private Limited is engaged in the international trade of agricultural commodities, food products, and essential goods, facilitating import and export services connecting clients to markets worldwide.


2. Acceptance of Terms

By accessing or using this website (www.cultivalinkglobal.com), submitting a trade inquiry, requesting a quotation, or entering into any business engagement with Cultivalink Global Private Limited, you ("User," "Buyer," or "Client") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions, as well as all applicable laws and regulations.


If you do not agree to these Terms, you are not permitted to use this website or engage in any business transactions with us. We reserve the right to update or modify these Terms at any time without prior notice. Continued use of the website or continued business engagement following any such changes constitutes your acceptance of the revised Terms.


3. Products and Services

Cultivalink Global specialises in the sourcing, export, and import of premium agricultural commodities and food products from India, including but not limited to grains, pulses, spices, oilseeds, fresh produce, and processed agro goods.


The following conditions apply to all products and services:

• All products are subject to availability, seasonal supply conditions, and regulatory approvals at the time of order.

• Product descriptions, images, specifications, grades, and varieties displayed on this website are indicative only and may vary slightly from the actual product delivered, within accepted trade tolerances.

• Cultivalink Global acts as a trade facilitator and/or principal seller depending on the nature of the transaction and shall communicate the applicable role to the buyer prior to order confirmation.

• Minimum order quantities (MOQ) may apply and will be specified in the quotation or commercial offer.


4. Quotations and Orders

4.1 Quotations

All quotations provided through the website (including via the “Get a Quote” form), email, or WhatsApp are indicative only and do not constitute a binding offer. Quotations are subject to:

• Availability of the product at the time of order confirmation.

• Market price fluctuations and commodity exchange rates prevailing at the time of finalisation.

• Agreement on Incoterms (e.g., FOB, CIF, CFR, EXW), delivery terms, and packaging specifications.

• Quantity to be procured and destination port.


Quotations are valid for the period specified therein, or for 3 (three) business days if no validity period is mentioned.

4.2 Order Confirmation

An order is considered confirmed only upon:

• Execution of a mutually agreed written Sales Contract or Proforma Invoice signed by both parties; and

• Receipt of any advance payment, Letter of Credit (LC), or agreed payment instrument as specified in the contract.


Verbal or informal communications do not constitute binding order confirmation.


5. Pricing and Payment

5.1 Pricing

All prices quoted are in United States Dollars (USD) or Indian Rupees (INR) as mutually agreed and specified in the Proforma Invoice or Sales Contract. Prices are exclusive of the following unless explicitly stated:

• Customs duties, import levies, and taxes in the destination country.

• Freight, insurance, and handling charges (unless CIF/CIP terms are agreed).

• Port charges, demurrage, and detention costs.


Prices are subject to change without prior notice until an order is formally confirmed. Post-confirmation prices are fixed as per the executed contract.

5.2 Payment Terms

Payment terms are agreed on a per-transaction basis and may include:

• Advance payment (Telegraphic Transfer – T/T) of a specified percentage before shipment.

• Irrevocable Letter of Credit (LC) from a recognised bank.

• Documents against Payment (D/P) or Documents against Acceptance (D/A) for approved counterparties.


Cultivalink Global reserves the right to suspend or cancel an order if payment is not received in accordance with agreed terms. Interest may be charged on overdue payments at a rate of 2% per month or the maximum rate permitted by applicable law, whichever is lower.


6. Export Compliance and Regulations

All exports by Cultivalink Global are conducted in compliance with applicable Indian export laws and regulations, including but not limited to:

• Directorate General of Foreign Trade (DGFT) regulations.

• Agricultural and Processed Food Products Export Development Authority (APEDA) guidelines.

• Food Safety and Standards Authority of India (FSSAI) requirements.

• Phytosanitary regulations of the destination country as communicated by the buyer.


The Buyer is solely responsible for:

• Ensuring compliance with all import regulations, tariffs, licences, and permits in the country of destination.

• Obtaining any necessary import licences or regulatory approvals prior to placing an order.

• Providing accurate and complete information regarding any special certifications, labelling, or quality standards required by the importing country.


Cultivalink Global shall not be held liable for any delays, losses, or rejections arising from the buyer’s failure to comply with import regulations in their jurisdiction.


7. Quality and Inspection

Cultivalink Global is committed to supplying products that meet the specifications agreed in the Sales Contract. The following terms apply to quality assurance:

• All goods shall conform to the agreed grade, specification, and quality parameters at the time of shipment from the origin port.

• Third-party pre-shipment inspection by internationally recognised inspection agencies (e.g., SGS, Bureau Veritas, Intertek) can be arranged upon the buyer’s request and at the buyer’s cost, unless otherwise agreed.

• Product certificates including Certificate of Origin, Phytosanitary Certificate, Quality Certificate, and Health Certificate shall be provided as per the terms of the contract and requirements of the destination country.


Any claim regarding quality, quantity, or condition of goods must be raised in writing within 7 (seven) calendar days of receipt of the goods at the destination port, accompanied by survey report(s) from an independent, mutually accepted inspection agency. Claims raised after this period shall not be entertained.


Natural variation in colour, size, and moisture content within acceptable trade tolerances shall not constitute a valid basis for rejection or claim.


8. Shipping and Delivery

Shipment and delivery terms are governed by the Incoterms® rules as agreed in the Sales Contract. The following general conditions apply:

• Delivery timelines provided at the time of quotation or order confirmation are estimates and are not guaranteed. Actual delivery may be affected by port congestion, vessel availability, weather conditions, or other logistical factors.

• Risk of loss, damage, or deterioration of goods passes to the Buyer as per the agreed Incoterms®.

• Cultivalink Global shall not be liable for delays in shipment or delivery caused by acts of government, port or customs authorities, or third-party logistics providers.

• Partial shipments may be made unless expressly prohibited in the Sales Contract.

• The Buyer is responsible for arranging adequate cargo insurance from the point of risk transfer where CIF or CIP terms are not applicable.


9. Force Majeure

Cultivalink Global shall not be held liable for any failure or delay in performance of its obligations under these Terms or any Sales Contract arising from events beyond its reasonable control, including but not limited to:

• Natural disasters, floods, droughts, crop failure, or acts of God.

• Government restrictions, export bans, trade embargoes, or regulatory changes.

• Pandemics, epidemics, or public health emergencies.

• Industrial disputes, strikes, or lockouts.

• War, armed conflict, terrorism, or civil disturbances.

• Failure or disruption of transport, port, or logistics infrastructure.


In the event of a force majeure, Cultivalink Global shall notify the Buyer in writing as soon as reasonably practicable and shall use commercially reasonable efforts to resume performance. If the force majeure event continues for more than 60 (sixty) days, either party may terminate the affected contract without liability by giving written notice to the other party.


10. Limitation of Liability

To the fullest extent permitted by applicable law:

• Cultivalink Global’s total liability to the Buyer in connection with any transaction shall not exceed the invoice value of the specific goods to which the claim relates.

• Cultivalink Global shall not be liable for any indirect, consequential, special, incidental, or punitive damages, including loss of profits, loss of business, or loss of market, arising out of or in connection with any contract or use of this website.

• Cultivalink Global makes no representations or warranties as to the fitness of the products for any particular purpose beyond the specifications agreed in the Sales Contract.


Nothing in these Terms shall limit or exclude liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by applicable law.


11. Intellectual Property

All content published on this website, including but not limited to text, graphics, logos, photographs, images, trade names, and service descriptions, is the proprietary property of Cultivalink Global Private Limited and is protected under applicable intellectual property laws.


Unauthorised reproduction, copying, redistribution, or commercial use of any content from this website, in whole or in part, is strictly prohibited without prior written consent from Cultivalink Global Private Limited.


The name “Cultivalink Global” and any associated logos or marks are trademarks of Cultivalink Global Private Limited. Use of these marks without prior written authorisation is not permitted.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and Conditions, and any contract or dispute arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the Republic of India.

14.2 Dispute Resolution

In the event of any dispute or difference arising out of or in connection with these Terms or any Sales Contract, the parties shall first attempt to resolve the matter through good-faith negotiation within 30 (thirty) calendar days of the dispute being notified in writing.


If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India), as amended from time to time. The seat of arbitration shall be Latur, Maharashtra, India. The arbitration shall be conducted in the English language. The decision of the arbitrator shall be final and binding on both parties.

14.3 Jurisdiction

Subject to the arbitration clause above, the courts of Latur, Maharashtra, India shall have exclusive jurisdiction over any legal proceedings arising out of these Terms.


15. Amendments

Cultivalink Global Private Limited reserves the right to amend, update, or revise these Terms and Conditions at any time without prior notice. All changes shall be effective immediately upon publication on this website.


It is the responsibility of the User to review these Terms periodically. Continued use of this website or continued business engagement with Cultivalink Global following any amendment constitutes acceptance of the revised Terms.


16. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable by any court or competent authority, such provision shall be deemed severed from the remaining provisions, which shall continue in full force and effect.


17. Entire Agreement

These Terms and Conditions, together with the relevant Sales Contract, Proforma Invoice, and any other written agreement executed between the parties, constitute the entire agreement between Cultivalink Global and the Buyer with respect to the subject matter and supersede all prior discussions, representations, or agreements, whether written or oral.
